INSURANCE NOT REQUIRED - N-2008-088 <br />WORK MAY PROCEED <br />CLERK OF COUNCIL <br />DATE: 7 -1 ~-o g' <br />D Svc, (y' CONSULTANT AGREEMENT <br />6,yy u~~Is`' n THIS AGREEMENT, made and entered into this 25`" day of June, 2008 by and between <br />Bob Ramirez Consulting (hereinafter "Consultant"), and the City of Santa Ana, a charter city and <br />municipal corporation organized and existing under the Constitution and laws of the State of <br />California (hereinafter "City"). <br />RECITALS <br />A. The City desires to retain a consultant having special skill and knowledge in the field of <br />fire suppression training. <br />B. Consultant represents that Consultant is able and willing to provide such services to the <br />City. <br />C. In undertaking the performance of this Agreement, Consultant represents that it is <br />knowledgeable in its field and that any services performed by Consultant under this <br />Agreement will be performed incompliance with such standards as may reasonably be <br />expected from a professional consulting firm in the field. <br />NOW THEREFORE, in consideration of the mutual and respective promises, and subject to the <br />terms and conditions hereinafter set forth, the parties agree as follows: <br />1. SCOPE OF SERVICES <br />Consultant shall prepare and present a fire training seminar focusing on hi-rise fire <br />suppression. The three-hour seminar will be presented to fire suppression personnel, and staff as <br />assigned by City. Consultant shall present the training during nine (9) separate sessions over six <br />days, to ensure that all required personnel may attend. A total of twenty-seven (27) hours (3 <br />hours x 9 sessions) of instruction will be provided during August 2008. Consultant will provide <br />written materials necessary for the presentation. <br />2. COMPENSATION <br />a. City agrees to pay, and Consultant agrees to accept as total payment for its services, a <br />rate of $100 per instruction hour. The total sum to be expended under this Agreement shall not <br />exceed $2,700.00 during the term of this Agreement. <br />b. Payment by City shall be made as follows: <br />• 50% upon execution of this Agreement <br />• 50% at the conclusion of the seminar <br />3. TERM <br />This Agreement shall commence on the date first written above and terminate on <br />December 31, 2008, unless terminated earlier in accordance with Section 12, below. The term of <br />
