3.02 The ILJAOC shall be governed by a Board consisting of six (6) <br />Member Police Chiefs each elected for athree-year term by the Orange County <br />Chiefs' & Sheriffs Association along with one designated alternate, to represent <br />those Member Agencies with Police Departments. In addition to the Police Chief <br />representatives, other voting members will be the Sheriff, District Attorney, Chief <br />Probation Officer, Public Defender, (1) representative from the County Executive's <br />Office who will serve at the CEO's pleasure, Presiding Judge of the Orange County <br />Superior Court, the Chief Executive Officer of the Court, and three (3) City Manager <br />representatives elected for three-year terms by the Orange County City Managers <br />Association, with at least one (1) of those representatives being from a "contract <br />city" in the County. Each Board member, or in the absence of a Board member, an <br />alternate designated in advance by each said Board Member, shall have one vote <br />on all matters before the Board. Such alternate members may be replaced from <br />time to time at the appointing Board Member's discretion. All Board Members may <br />be removed without cause by their respective appointing authorities. <br />3.03 Each voting Board member shall hold office until a successor is <br />selected, elected, hired or appointed, as the case may be, under the powers of <br />this Agreement and each Member Agency. The term of a Board member or <br />alternate (both voting and non-voting) who is a public official or employee of a <br />Member Agency shall terminate upon such Board Member leaving his or her <br />position with the Member Agency. The vacancy of such a member who has left <br />his or her position shall automatically be filled by selection, election, or <br />appointment, as the case may be; according to the selection process adopted <br />by this Agreement and the Member Agency whose representative has left his or <br />her position. <br />3.04 Board members and alternates shall not receive compensation for <br />their service on the ILJAOC Board, but may be reimbursed by the ILJAOC for <br />reasonable expenses incurred in conducting the business of the ILJAOC, as <br />provided in this Agreement, when the expenses are not paid or reimbursed by the <br />employing Member Agencies. <br /> <br />
