LTG (y~ VENDING SERVICES AGREEMENT P"~` Galta~'a~ THIS FIRST AMENDMENT TO AGREEMENT is entered into on June 30, 2008, by and between Downey Vendors, Inc., a California corporation ("Contractor") and the City of Santa Ana, a charter city and municipal corporation organized and existing under the Constitution and laws of the State of California ("City"). RECITALS: A. The parties entered into Agreement/(-2006-106, dated October 24, 2006, (hereinafter "said Agreement") by which Contractor has provided vending services for certain Ciry facilities. B. In accordance with the terms and conditions of said Agreement, the parties wish to increase the sales prices of certain vending items and extend the term of said Agreement for an additional one-year period. WHEREFORE, in consideration of the covenants contained in said Agreement, and subject to all the terms and conditions of said Agreement, except those amended in this First Amendment to Agreement, the parties agree as follows: 1. Pursuant to Section l.c., SCOPE OF SERVICES, Contractor has requested, and received City's approval to increase prices on certain vending items, as set forth in Exhibit A-1, attached to this First Amendment to Agreement. 2. Section 3, TERM, shall be amended to extend the term for an additional one-year period, through June 30, 2009. 3. Except as herein amended, all terms and conditions of said Agreement shall remain in full force and effect. IN WITNESS WHEREOF, the parties hereto have executed this First Amendment to Consultant Agreement on the date and year first written above.
