INSURANCE ON FILE A-2007-272-01 <br />WORK MAY PROCEED <br />U"4TIL INSURANCE EXPIRES <br />~-~k y- ~~ <br />CLERK 0 NFC iL ~ 2008 <br />DATE: StrZ FIRST AMENDMENT TO AGREEMENT <br />~~~ FrnsC ~ ~ <br />t c~-~ Ai'u~:~..~ - K ~ <br />THIS FIRST AMENDMENT TO AGREEMENT is entered into on June 30, <br />2008, by and between XONOVIA TECHNOLOGIES, a California corporation <br />("Consultant") and the City of Santa Ana, a charter city and municipal corporation of the <br />State of California ("City"). <br />RECITALS: <br />A. The parties entered into Agreement #A-2007-272, dated December 3, 2007, <br />(hereinafter "said Agreement") by which Consultant has provided information <br />systems security analyses and recommendations. <br />B. In accordance with the terms and conditions of said Agreement, the parties wish to <br />extend the term of said Agreement. <br />WHEREFORE, in consideration of the covenants contained in said Agreement, and <br />subject to all the terms and conditions of said Agreement, except those amended in this <br />First Amendment to Agreement, the parties agree as follows: <br />Section 4, TERM, shall be deleted in its entirety and replaced with the following: <br />"This Agreement shall commence on December 3, 2007 and terminate on <br />expenditure of allocated funds, unless terminated earlier in accordance with <br />Section 13, below." <br />2. Except as hereinabove amended, all terms and conditions of said Agreement shall <br />remain in full force and effect. <br />IN WITNESS WHEREOF, the parties hereto have executed this First Amendment to <br />Consultant Agreement on the date and year first written above. <br />CITY OF SANTA ANA <br />ATTEST:. <br />PA RICIA E.
