8. Reporb/Meetiags: The Contractor shall develop reports and any other relevant documents necessary to complete the services and requirements as sat forth in this ContracK. The County's Project Manager and the Contractm's Project Manager will meet on reasonable notice to discuss the Contractor's performance and progress under this Contract. If requested, the Contractor's Project Manager and other project persorurel shall stand all meetings. The Contractor shall provide such information that is requested by the County for the purpose of monitoring progress under this Contract. 9. CoatraMor's Records: The (rOntr~tor shall keep true and accurate aceoums, records, books and data which shall correctly reflect the business transacted by the Contractor in accordance with generally accepted accounting principles. These rewrds shall be stored in Orenge County for a period of four years after final payment is received from the County. Storage of records in another county will require written approval from the County of Orange assigned buyer. ]0. Conflict of Interest - (Contractor): Contractor shall exercise reasonable cane and diligence to prevent any actions or conditions that result in a conflict with the best interests of the County. This obligation shall apply to the Contractor; the Contractor's employees, agents, relatives, sub-tia~ Contractors, and third parties associated with accomplishing work and services hereunder. Contractor's efforts shall include, but rest be limited to establishing precautions to prevent its employees or agents fmm making, receiving, providing or offering gifts, entertainment, payments, loans or other wnsideretions which wind be deemed to appear to influence individuals to act contrary to the best interest of the County. 11. Owoenhip of Docameab: Tha County has permanent ownership of all directly connected and derivative materials produced under this Contract by the Contractor. All documents, reports and other incidental or derivative work or materials famished hereunder shall became and remains the property of the County and may be used by the County as h may require without additional cast to the County. None of the documents, reports and other incidental or derivative work or furnished materials shall be used by the Comractor without the exprms written wnsent of the County. The County acknowledges and accepts that the Connect-CTY Service ("CTY Service") and all documents, data, and other materials provided by Contractor to the County pursuant to the provision of the CTY Service are not purchased or developed with County funds. Accordingly, nothing in this Contract grants or transfers to the County arty ownership rights in the foregoing materials. However, any materials provided by the County to Contractor pursuant to the provision of the CTY Service, will belong to the County. 12. Data -Title to: AI I materials, documents, data or information obtained from the County data files or any County medium famished to the Contractor in the performance of this Contract will at all times remain the property of the County. Such data or information may not be used or copied for direct or indirect use by the Contractor after wmpletion or termination of this Contract without the express written consent of the County. All materials, documents, data or information, including espies, must be returned to the County at the end of this Contract. 13. Breach of CoatreM: The failure of the Contractor to wmply with any of the provisions, wvenartts or wnditions of this Contract shall be a material breach of this Contract. In such evert the County may, and in addition to any other remedies available at law, in equity, or otherwise specified in this Contract Afford the Contractor written notice of the breach and ten calendar days or such shorter time that may be specified in this Contract within which to cure the breach; and 2. Discontinue payment to the Contractor for and during the period in which the Contractor is in broach; and 3.
