INSURAiVC�ON FILE <br /> WORK MAY PROCEED N-2025-099 <br /> UNTIL INSURANCE EXPIRL�S <br /> CIT CLERK <br /> DAl LAPR 2 9 206N-CALL AGREEMENT WITH INDUSTRIAL MEDICAL SUPPORT, INC.,DBA <br /> AMPHIBIOUS MEDICS FOR STANDBY EMERGENCY MEDICAL SERVICES <br /> AT CITY EVENTS <br /> THIS AGREEMENT is made and entered into on this 18th day of March, 2025 by and between <br /> Industrial Medical Support, Inc., a Nevada corporation dba Amphibious Medics ("Contractor"), and the <br /> City of Santa Ana, a charter city and municipal corporation organized and existing under the Constitution <br /> and laws of the State of California("City"). <br /> RECITALS <br /> A. The City desires to retain a contractor having special skill and knowledge in the field of standby <br /> emergency medical services at various City events. <br /> B. Contractor represents that Contractor is able and willing to provide such services to the City. <br /> C. In undertaking the performance of this Agreement, Contractor represents that it is knowledgeable <br /> in its field and that any services performed by Contractor under this Agreement will be performed <br /> in compliance with such standards as may reasonably be expected from a professional consulting <br /> firm in the field. <br /> NOW THEREFORE, in consideration of the mutual and respective promises, and subject to the terms <br /> and conditions hereinafter set forth, the parties agree as follows: <br /> 1. SCOPE OF SERVICES <br /> a. On an on-call basis, and at the City's sole discretion, Contractor shall perform, during the <br /> term of this Agreement, all tasks and obligations including all labor, materials, tools, <br /> equipment, and incidental customary work required to fully and adequately complete <br /> standby emergency medical services as further described and set forth in Exhibit A, <br /> attached hereto and incorporated by reference. <br /> b. All Emergency Medical Technicians assigned to provide services pursuant to this <br /> Agreement shall be certified and registered with the appropriate authorities to practice pre- <br /> hospital emergency medical care in the State of California. <br /> C. Contractor shall provide all medical supplies. <br /> d. Contractor shall provide a safety plan to the City's Parks, Recreation and Community <br /> Services Department within forty-eight(48)hours of an event where Contractor's services <br /> are requested. <br /> 2. COMPENSATION <br /> a. City does not warrant any minimum compensation to Contractor under this Agreement. <br /> Contractor shall be paid only for actual services performed under this Agreement at the rates <br /> and charges identified in Exhibit A.
