1. Contractor shall promptly notify the Orange County Sheriff's Department Emergency <br /> Management Division personnel assigned as lead program manager for this Contract upon <br /> discovery or reasonable awareness of the following: (a) any issues or deficiencies with <br /> the goods/services provided pursuant to this Contract or in the provision of similar <br /> products/services to another customer,whether identified by Contractor's own personnel <br /> or by other customers or subcontractors; (b) any claim or action against, or any loss by, <br /> Contractor that involves or may reasonably be expected to involve similar goods and/or <br /> services provided pursuant to this Contract; or (c) the initiation of any government <br /> investigation that may result in a finding that Contractor is not in compliance with all I <br /> applicable federal, state and local laws. Notification may be performed through an jl <br /> automated service notification email or telephone process, or via direct personal phone <br /> calls with written follow-up documentation, depending upon the urgency of the issues, <br /> incidents,or deficiencies. Contractor shall maintain a system issue/deficiency log during <br /> the life of the Contract and for four(4)years beyond contract termination,which shall be <br /> made available to the County upon request. <br /> 2. County shall promptly notify Contractor upon discovery or reasonable belief/awareness <br /> of any issues or deficiencies with the goods/services to be provided pursuant to this <br /> Contract, either identified directly by County's own personnel or by other customers or <br /> subcontractors. Notification may be performed in writing or direct personal phone call <br /> with written follow-up documentation, depending upon the urgency of the issues, <br /> incidents,or deficiencies. The Contractor shall include these issues or deficiencies in their <br /> system issue/deficiency log during the life of the contract and for four(4) years beyond <br /> contract termination, <br /> 3. In the event any goods or services provided by the Contractor in the performance of the <br /> Contract should fail to conform to the requirements in this Contract, it shall become the <br /> duty of the Contractor to correct the performance of goods/services, without expense to <br /> the County. If corrective action(including but not limited to patches,bug fixes,updates) <br /> is taken by the Contractor to remedy issues or deficiencies in the provision of similar <br /> goods and/or services to other customers, such corrective action shall be provided to the <br /> County at no additional cost if such corrective action is needed for the Contractor to meet <br /> its obligations under this Contract. <br /> 4. The County and Contractor agree to establish a collaborative process for developing <br /> timelines and benchmarks for corrective action and resolution of issues or deficiencies. <br /> O. Lsurance]Provisions: Prior to the provision of services under this Contract, the Contractor agrees <br /> to carry all required insurance at Contractor's expense, including all endorsements required herein, <br /> necessary to satisfy the County that the insurance provisions of this Contract have been complied <br /> with. Contractor agrees to keep such insurance coverage current,provide Certificates of Insurance, <br /> and endorsements to the County during the entire term of this Contract, <br /> Contractor shall ensure that all subcontractors performing work on behalf of Contractor pursuant to <br /> this Contract shall be covered under Contractor's insurance as an Additional Insured or maintain <br /> insurance subject to the same terms and conditions asset forth herein for Contractor. Contractor shall <br /> not allow subcontractors to work if subcontractors have less than the level of coverage required by <br /> County from Contractor under this Contract. It is the obligation of Contractor to provide notice of <br /> the insurance requirements to every subcontractor and to receive proof of insurance prior to allowing <br /> any subcontractor to begin work.
