<br />, <br />.1 <br /> <br />\ <br />./ <br /> <br />Agreement 4600004214 <br />Water Use Efficiency Grant <br />Residential High Efficiency Clothes Washer Rebate Program <br /> <br />(c) Remittance of Unexpended Funds <br /> <br />The Grantee, within a period of thirty (30) days from the final disbursement <br />from Ihe State to the Grantee of State Grant funds, shall remit to the State any <br />unexpended funds Ihat were disbursed 10 the Grantee under this Agreement <br />and were not needed 10 pay Eligible Project Costs. <br /> <br />(d) Interim and Final Audits <br /> <br />The State reserves the right to conduct an audit at any time between the <br />execution of this Agreement and the completion of Ihe Project, with the costs of <br />such audit borne by the State. After completion of the Project, the Stale may <br />require the Grantee 10 conduct a final audit, at Ihe Grantee's expense, such <br />audit 10 be conducted by and a report prepared by an independenl Certified <br />Public Accountant. <br /> <br />Failure or refusal by the Grantee to comply with this provision shall be <br />considered a substantial failure to comply with this Agreement, and the State <br />may erect to pursue any remedies provided in Article A-5 or take any other <br />action it deems necessary to protect its interests. <br /> <br />A-12. CLAIMS DISPUTE CLAUSE: Any claim Ihat the Grantee may have regarding the <br />performance of this Agreement including, but not f1mited to, claims for additional <br />compensation or extension of time, shall be submitted to the Project Manager, <br />Department of Water Resources, within thirty (30) days of the Grantee's knowledge of <br />the claim. Project Manager and Grantee shall then attempt to negotiate a resolution <br />of such claim and process an amendment 10 this Agreement 10 implement Ihe terms <br />of any such resolution. <br /> <br />A-13. REMEDIES NOT EXCLUSIVE; The use by either party of any remedy specifled herein <br />for the enforcement of this Agreement is not exclusive and shall not deprive the party <br />using such remedy of, or limit the application of any other remedy provided by law. <br /> <br />A-14. STATE TO BE HELD HARMLESS: The Grantee agrees to indemnifylhe Stale and its <br />officers, agents, and employees against and to hold the same free and harmless from <br />any and all claims, demands, damages, losses, costs, expenses, or liability due or <br />incident to, either in whole or in part, and whether directly or indirectly, arising out of <br />the Project. <br /> <br />A-15. INSPECTION OF BOOKS, RECORDS, AND REPORTS; During regular office hours, <br />each of the parties hereto and their duly authorized representatives shall have the <br />right to inspect and to make copies of any books, records, or reports of either party <br />pertaining to this Agreement or matters related hereto. Each of the parties hereto <br />shall maintain and shall make available at all times for such inspection accurate <br />records of all its costs, disbursements, and receipts with respect to its activities under <br /> <br />12 <br />
