(~) <br />6.- ilL -1ho...,pk,,,s THIS AGREEMENT, made and entered into this I O'h day of September, 2008 by and <br />betw n East Los Angeles Classic Theatre, a California 501(c)(3) non-profit organization <br />, <br />(hereinafter "Consultant") and the City of Santa Ana, a charter city and mun icipal corporation <br />organized and existing under the Constitution and laws of the State of California (hereinafter <br />"City"), <br /> <br />REC~ALS <br /> <br />M SANCHEZ <br /> <br />PAGE e2/14 <br /> <br />N.2008.127 <br /> <br />A, The City desires to retain a consultant having special skill and knowledge in the field of <br />providing language arts curriculum through theater production, <br /> <br />B. Consultant represents that Consultant is able and willing to provide such services to the <br />City. <br /> <br />C. In undertaking the performance of this Agreement, Consultant represents that it is <br />knowledgeable in its field and that any services performed by Consultant under this <br />Agreement will be performed in compliance with such standards as may reasonably be <br />! expected from a professional consulting firm in the field. <br /> <br />NOWITHEREFORE, in consideration of the mutual and respective promiseB, and subject to the <br />terms ~d conditions hereinafter set f01th, the parties agree as follows: <br />I <br /> <br />I. j SCOPE OF SERVICES <br /> <br />Consultant shall provide a "Language in Play" residency at Fremont Elementary School <br />and st go a production of Much Ado About Nothing, as set forth in Exhibit A to this Agreement. <br /> <br />2. COMPENSA nON <br /> <br />a. City agrees to pay, and Consultant agrees to accept as total payment for its services, <br />the rat s and charges identified in Exhibit A. The total sum to be expended under this <br />Agree1l1ent shall not exceed $20,000.00 during the term ofrhis Agreement. <br /> <br />lb. Payment by City shall be made within thirty (30) days following receipt of proper <br />invoic evidencing work performed, subject to City accounting procedures. Payment need not <br />be made for work which fails to meet the standands of performance set forth in the Recitals <br />which fuay reasonably be expected by City. <br /> <br />3. rkRM <br /> <br />I This Agreement shall commence on the date first written above and terminate on June 30, <br />2009, Jnless terminated earlier in accordance with Seetion 12, below. The term of this <br />AgreClhent may be extended upon a writing executed by the Executive Director of Parks, <br />Recreation and Community Services Agency and the City Attomey. <br />I <br /> <br />I <br />I <br />
