10/1/OS <br />"Outside Date" shall mean the last date the Closing shall occur, as set forth in <br />Section 202.4 hereof. <br />"Phase I Report" is defined in Section 208.1 hereof. <br />"Phase II Report" is defined in Section 208.1 hereof. <br />"Purchase Price" means the price to be paid by the Developer to the Agency in <br />consideration for the conveyance of fee title to the Sites as set forth in Section 201 <br />hereof. <br />"Project Budget" means the budget for the project submitted and approved by the <br />Agency, attached hereto and incorporated herein as Exhibit C. <br />"Release of Construction Covenants" means the document which evidences the <br />Developer's satisfactory completion of the Improvements, as set forth in Section 310 <br />hereof, in substantially the form of Exhibit D hereto which is incorporated herein. <br />"Report" means the preliminary title report, as described in Section 203 hereof. <br />"Schedule of Performance" means the Schedule of Performance attached hereto <br />as Exhibit E and incorporated herein, setting out the dates and/or time periods by which <br />certain obligations set firth in this Agreement must be accomplished. The Schedule of <br />Performance is subject to revision from time to time as mutually agreed upon in writing <br />between the Developer and the Agency's Executive Director, and the Agency's <br />Executive Director is authorized to make such revisions as he or she deems reasonably <br />necessary. <br />"Scope of Development" means the Scope of Development attached hereto as <br />Exhibit F and incorporated herein by reference, which describes the scope, amount and <br />quality of development of the Improvements to be constructed by the Developer pursuant <br />to the terms and conditions of this Agreement. <br />"Sites Legal Description" means the legal description of the Sites attached hereto <br />as Exhibit A, and incorporated herein. <br />"Title Company" is defined in Section 204 hereof. <br />"Title Policy" is defined in Section 204 hereof. <br />"Trust Deed" is defined in Section 311.2 hereof. <br />200.
