HOLD HARMLESS/INDEMNITY <br />GRANTEE shall protect, defend, indemnify and hold harmless CITY ,its officers, <br />officials, employees, volunteers and agents from and against any and all liability, loss, <br />damage, expenses, costs (including without limitation, costs and fees of litigation of <br />every nature) arising out of or in connection with GRANTEE's performance of its <br />services under this Agreement, or its failure to comply with any of its obligations <br />contained in this Agreement by GRANTEE, its officers, agents, volunteers or employees, <br />except such loss or damage which was caused by the sole negligence or willful <br />misconduct of the CITY, its officers, agents, volunteers or employees. <br />21. INSURANCE CERTIFICATES OF INSURANCE <br />The GRANTEE shall obtain, and shall require its subcontractors, if any, to obtain at its <br />sole cost, and keep in force, the following insurance coverage: <br />1. Commercial general liability insurance, or equivalent form, with a combined single <br />limit of not less than two million dollars, $2,000,000, per occurrence. <br />2. Business automobile liability insurance or equivalent form with a combined single <br />limit of not less than one million dollars ($1,000,000) per occurance. Said insurance <br />shall include coverage for owned, hired and non-owned automobiles. <br />3. Worker's Compensation Insurance in the statutory amount required by the State of <br />California. <br />4. Further, the GRANTEE shall obtain any additional kinds and amounts of insurance <br />which, in its own judgment, may be necessary for the proper protection in any of its own <br />actions while in an agreement for services with the CITY. <br />Said policy or policies shall be in a form approved by the City Attorney and shall name <br />the CITY, the Santa Ana City Council, its officers, agents, and employees as additional <br />insured by an endorsement to the policy. Said endorsement shall provide that the CITY <br />shall receive not less than thirty (30) days notice of termination of any coverage under <br />which it is an additional insured. <br />GRANTEE shall: (a) Furnish properly executed certificates of insurance in form(s) <br />acceptable to the City Attorney prior to commencement of work for this agreement, <br />which certificates shall clearly evidence all coverages required above and provide that <br />such insurance shall not be materially changed or terminated except on 30 days' prior <br />written notice to the CITY; (b) furnish certificates which are primary with respect to <br />insurance or self-insurance programs maintained by the CITY; (c) attach a completed and <br />signed copy of the CITY's '`Additional Insured Endorsement" form to the certificates of <br />insurance noted above; (d) maintain such insurance from the time work first commences <br />until completion of work for this agreement, and (e) replace such certificates and forms <br />for policies expiring prior to completion of work for this agreement. <br />10 <br />
