OF FIRST AMENDMENT TO AGREEMENT <br />DATE: <br />CLERK <br />a ks $THIS FIRST AMENDMENT TO AGREEMENT is entered into on November 13, 2008, <br />k `�by and between The Active Network, N.A., Inc. (hereinafter "TAN ") and the City of Santa Ana, a <br />charter city and municipal corporation organized and existing under the Constitution and laws of <br />the State of California (hereinafter "City "). <br />RECITALS: <br />A. The parties entered into that certain Agreement N- 2008 -027, dated February 22, 2008, <br />(hereinafter "said Agreement ") by which TAN has provided software support and <br />maintenance for its Recreation and Facilities Management software. <br />B. In accordance with the terms and conditions of said Agreement, the parties wish to extend <br />the term and increase compensation to pay for services during the extended term. <br />WHEREFORE, in consideration of the covenants contained in said Agreement, and subject to all <br />the terms and conditions of said Agreement, except those amended in this First Amendment to <br />Agreement, the parties agree as follows: <br />1. Section 3, TERM, shall be amended extend the provision of support and maintenance <br />services for an additional one -year period, through November 30, 2009, at a cost of 59612.60. <br />2.
