INSURANCE ON FILE WORK MAY PROCEED UNTIL INSURANCE EXPIRES c -AP-- CLERK OF COUNCIL DATE: ) 3 -- 15 - 0 2: FIRST AMENDMENT TO AGREEMENT A-2007-006-01 G: CDA(a-) (mac Lon1e� i THIS FIRST AMENDMENT TO AGREEMENT is entered into on October 28, 2008, by and between Specialty Environments Co., Inc., a California corporation ("Contractor") and the City of Santa Ana, a charter city and municipal corporation organized and existing under the Constitution and laws of the State of California ("City"). RECITALS: A. The parties entered into that certain Agreement A-2007-006, dated January 16, 2007, (hereinafter "said Agreement') by which Contractor has provided landscape maintenance services. In accordance with the terms and conditions of said Agreement, the parties wish to extend the term of the Agreement and increase compensation to pay for services during the extended term. WHEREFORE, in consideration of the covenants contained in said Agreement, and subject to all the terms and conditions of said Agreement, except those amended in this First Amendment to Agreement, the parties agree as follows: 1. Section 2, COMPENSATION, shall be amended to increase compensation by $25,000.00, to pay for services during the extended term. Said section shall be amended to read, in full: "City agrees to pay and Contractor agrees to accept, as full compensation for the services provided pursuant to Exhibit A to said Agreement, a monthly fee of $1839.00. The total amount to be expended pursuant to this First Amendment to Agreement shall not exceed $25,000, during the 2009 calendar year." 2. Section 3, TERM, shall be amended to extend the term for an additional one-year period, through December 31, 2009. 3. Except as hereinabove amended, all terms and conditions of said Agreement shall remain in full force and effect.
