INSURRPICE 011 FILE UN i'L 1 lcS CLi'' 'C GF CZ , ;L G 101WOo CONCESSIONAIRE AGREEMENT A-2000-1 51 THIS AGREEMENT, made and entered into this —1714— day of N,/VWEJ�F,c, 2000 by and between Otto Bade, La Perla De Santa Ana Restaurant, a California corporation (hereinafter "Concessionaire"), and the City of Santa Ana, a charter city and municipal corporation organized and existing under the Constitution and laws of the State of California (hereinafter "City"). RECITALS A. The City desires to retain a Concessionaire having special skill and knowledge in the field of food and beverage vending. B. Concessionaire represents that Concessionaire is able and willing to provide such services to the City. C. In undertaking the performance of this Agreement, Concessionaire represents that it is knowledgeable in its field and that any services performed by Concessionaire under this Agreement will be performed in compliance with such standards as may reasonably be expected from a professional firm in the field. NOW THEREFORE, in consideration of the mutual and respective promises, and subject to the terms and conditions hereinafter set forth, the parties agree as follows: 1. SCOPE OF SERVICES Concessionaire shall perform those services as set forth in Exhibit A "Scope of Work" and "Request for Proposal' dated 06-09-2000 to this Agreement. 2. COMPENSATION a. Concessionaire agrees to pay CITY, by the tenth (10`h) day of each month, for the privileges herein granted, fifteen percent (15%) of the gross sales for all items vended during the preceeding month. These payments shall be accompanied by a monthly statement, which summarizes gross receipts of the preceding month. 3. TERM This Agreement shall be for a period of five (5) years, commencing on the date first written above and terminate on September 5, 2005 unless terminated earlier in accordance with Section 12, below. The term of this Agreement may be extended by a five year option to extend to be exercised by City upon a writing executed by the Executive Director of Parks and Recreation and the City Attorney.
