EXHIBIT F <br />MEMORANDUM OF LAND LEASE AGREEMENT <br />THIS MEMORANDUM OF LAND LEASE AGREEMENT is made and entered into as <br />of , 2008 by and between City of Santa Ana, a charter city and <br />municipal corporation organized and existing under the Constitution and laws of the State of <br />California ("Lessor") and Omnipoint Communications, Inc., a subsidiary of T -Mobile USA, Inc. <br />("Lessee"). <br />WITNESSETH: <br />That Lessor hereby leases to Lessee and Lessee hereby leases from Lessor a portion of <br />that certain real property (the "Property") in the State of California, County of Orange, City of <br />Santa Ana commonly known as 1825 Civic Center Drive West, Santa Ana, CA, 92703, a legal <br />description of which is shown in Exhibit A attached hereto and incorporated herein by reference, <br />under the terms and conditions of the unrecorded Land Lease Agreement by and between Lessor <br />and Lessee dated by Lessor , 200_, and incorporated herein by reference <br />(the "Agreement") for an initial term of ten (10) years, commencing on the Commencement <br />Date, as defined in the Agreement, and three (3) subsequent optional extension terms of five (5) <br />years each, pursuant to the terms of the Agreement.
