Docusign Envelope ID;90BEDGE3-696B-4C65-9FC6-3A8DE9663BF9 <br /> NOW, THEREFORE, IN CONSIDERATION OF THE MUTUAL PROMISES AND <br /> COVENANTS CONTAINED HEREIN, THE CITY AND OWNER AGREE AS FOLLOWS: <br /> SECTION 1. RECITALS. The Recitals above are true and correct and incorporated into <br /> the body of this Agreement by this reference. <br /> SECTION 2. COMPLIANCE WITH SETTLEMENT AGREEMENT AND CITY <br /> CODES. The Industrial Use shall substantially conform with the terms of the Settlement <br /> Agreement, and the Owner will not materially expand, alter, or change the nature of its business <br /> at the Property during the Amortization Period. <br /> SECTION 3. PROPERTY MAINTENANCE ENFORCEMENT BY THE CITY OF <br /> SANTA ANA. <br /> A. Ongoing Operational/Maintenance Conditions. The Owner, on behalf of itself, and its <br /> successors and assigns, hereby agrees to maintain and repair the following elements of the <br /> Property, it being expressly understood and agreed that, to the extent that any of the following <br /> obligations conflict with the obligations that the Owner assumed under the Settlement Agreement, <br /> the Settlement Agreement shall be controlling and shall limit those obligations pursuant to its <br /> terms: <br /> 1. The Property shall be maintained in conformance with the standards generally applicable <br /> to comparable industrial businesses located within the City, as modified by the Settlement <br /> Agreement between the Parties dated April 1,2025. <br /> 2. The Industrial Use shall comply with ongoing operational standards, requirements and <br /> restrictions, as applicable (including, but not limited to, hours of operation, security <br /> requirements, the proper storage and disposal of trash and debris, and/or restrictions on <br /> certain uses in effect on February 5, 2025) as contained in the Santa Ana Municipal Code <br /> ("SAMC") as currently existing and as may be amended. <br /> 3. All onsite activities shall comply with the City of Santa Ana Noise Ordinance at all times. <br /> 4. Ongoing maintenance, repair and upkeep of the Property and all improvements located <br /> thereupon shall be provided by the Owner (including, but not limited to, controls on the <br /> proliferation of trash and debris about the Property; the proper and timely removal of <br /> graffiti; the timely maintenance, repair and upkeep of damaged, vandalized and/or <br /> weathered buildings, structures and/or improvements; the timely maintenance, repair and <br /> upkeep of exterior paint, parking striping, pedestrian pathways/open space areas, lighting <br /> fixtures, walls and fencing, publicly accessible bathrooms and bathroom fixtures, as <br /> applicable). <br /> 5. If the Owner and any tenant are different, both the Owner and tenant, as a Responsible <br /> Party, shall be signatories to this agreement and both shall be jointly and severally liable <br /> for compliance with its terms. <br /> 6. Owner and any Responsible Party responsible for complying with the terms of this <br /> agreement shall not transfer or assign its ownership interest in the Property or any interest <br /> in any lease, sublease, license or sublicense,unless the Owner or Responsible Party notifies <br /> the City at least thirty (30) calendar days prior to the proposed transfer or assignment and <br /> the prospective assignee agrees in writing to assume all of the duties and obligations and <br /> 2 <br /> 73183404v1 <br />
