forth above. For purposes of calculating these time frames, weekends, federal, state, <br />County or City holidays shall be excluded. <br />IV. JURISDICTION <br />This Agreement and all questions relating to its validity, interpretation, <br />performance, and enforcement shall be governed and construed in accordance with the <br />laws of the State of California. This Agreement has been executed and delivered in the <br />State of California and the validity, interpretation, performance, and enforcement of any <br />of the clauses of this Agreement shall be determined and governed by the laws of the <br />State of California. If any action at law or in equity is necessary to enforce or interpret the <br />terms of this Agreement, the prevailing party shall be entitled to reasonable attorneys' <br />fees, costs, and necessary disbursements, in addition to any other relief to which it may <br />be entitled. <br />V. ENTIRE AGREEMENT <br />This Agreement constitutes the entire agreement of the parties. No other <br />agreement, oral or written, pertaining to the work to be performed under this Agreement <br />shall be of any force or effect unless it is in writing and signed by both parties. Any work <br />performed that is inconsistent with or in violation of the provisions of this Agreement <br />shall not be compensated. <br />VI.
