AGREEMENT FOR COMMUNITY MANAGEMENT <br /> DISTRICT SERVICES <br /> This agreement is made on day of 2009, between the City of Santa <br /> Ana, a charter city and municipal corporation duly organized and existing under the Constitution <br /> and laws of the State of California, (the "CITY") and Downtown Incorporated, a California non- <br /> profit corporation, (the "ASSOCIATION"). <br /> RECITALS: <br /> A. Pursuant to its Resolution No. 2008-078 (the "RESOLUTION") the City (:ouncil of the <br /> CITY has established a community management district designated as the "Downtown <br /> Community Management District " (the "DISTRICT"), under Article XX of Chapter 13 of <br /> the Santa Ana Municipal Code (the "ORDINANCE"); and <br /> B. Pursuant to the Resolution and the Ordinance, assessments will be levied annually against the <br /> assessable parcels in the DISTRICT commencing with Fiscal Year 2009-2010 and <br /> continuing through Fiscal Year 2013-2014; and <br /> C. Such assessments may be used only for the purposes set forth in the Resolution; and <br /> D. The CITY desires to use the assessments to contract for the administration of a program of <br /> improvements and activities in connection with the DISTRICT for Fiscal Years 2009-2010 <br /> through 2013-14; and <br /> E. Section 13-209 of the Ordinance authorizes the CITY to contract with anon-profit owners <br /> association to manage the district on a day-to-day basis. <br /> F. The ASSOCIATION represents that it is a private nonprofit corporation registered and in <br /> good standing with the California Secretary of State qualified to serve pursuant to the <br /> Ordinance. <br /> G. The CITY seeks to contract with the ASSOCIATION to administer such program of <br /> improvements and activities. <br /> <br /> NOW, THEREFORE, the CITY and ASSOCIATION mutually agree as follows: <br /> 1. TERM OF AGREEMENT <br /> 1.1. The term of this Agreement shall be from July 1, 2009 to and including December <br /> 31, 2015. <br /> 1.2. In the case of a default by the ASSOCIATION, the CITY may terminate this <br /> Agreement by giving written notice to the ASSOCIATION. <br /> 80A-29 <br /> <br />
