1NGMANCE 110i ON FILE N-2007-005-02 <br />WORK MAY NOT PROCEED <br />CLERK OF COUNCIL SECOND AMENDMENT TO <br />DATOUN - $ �LUUy CONSULTANT AGREEMENT <br />O; p 1 A(2) THIS SECOND AMENDMENT TO CONSULTANT AGREEMENT, made and entered <br />uctiv l d into this 31" day of December, 2008, by and between Cordoba Corporation, a California <br />f), et1C�el,�in corporation (hereinafter "Consultant"), and the City of Santa Ana, a charter city and municipal <br />corporation organized and existing under the Constitution and laws of the State of California <br />(hereinafter "City"). <br />RECITALS <br />A. The City retained Consultant by entering a Consultant Agreement (N-2007-005) dated January 1, <br />2007 ("said Agreement") to supplement and provide oversight to City staff in the development of a <br />transit vision and masterplan for the OCTA Go Local application. The parties amended certain terms <br />of said Agreement with a First Amendment dated January 1, 2008. <br />B. The parties hereto now desire to extend the Term of said Agreement. <br />WHEREFORE, in consideration of the mutual and respective covenants and promises hereinafter <br />contained and made, and subject to all of the terms and conditions of said Agreement as hereby <br />amended, the parties hereby agree as follows: <br />1. Section 3 "Term" shall be extended through January 31, 2009. <br />2. Except as hereinabove modified, the terms and conditions of the Agreement remain in full force and <br />effect. <br />IN WITNESS WHEREOF, the parties hereto have executed this Second Amendment to <br />Agreement the date and year first above written. <br />ATTEST: <br />PA CIA E.
