RECITALS A. The City retained Consultant by entering a Consultant Agreement (N-2007-005) dated January 1, 2007 ("said Agreement") to supplement and provide oversight to City staff in the development of a transit vision and masterplan for the OCTA Go Local application. The parties amended certain terms of said Agreement with a First Amendment dated January 1, 2008. B. The parties hereto now desire to extend the Term of said Agreement. WHEREFORE, in consideration of the mutual and respective covenants and promises hereinafter contained and made, and subject to all of the terms and conditions of said Agreement as hereby amended, the parties hereby agree as follows: 1. Section 3 "Term" shall be extended through January 31, 2009. 2. Except as hereinabove modified, the terms and conditions of the Agreement remain in full force and effect.
