E <br />THIRD AMENDMENT TO AGREEMENT <br />�)A1t_ L4 -I <br />THIS THIRD AMENDMENT TO AGREEMENT is entered into on April 1, 2009, by and <br />between National Econ Corporation, a California corporation ("Consultant") and the City of Santa Ana, a <br />MV r v C l v z2-+ charter city and municipal corporation of the State of California ("City"). <br />RECITALS: <br />A. The parties entered into Agreement #N-2007-078, dated July 5, 2007, (hereinafter "said Agreement") <br />by which Consultant has provided environmental remediation services and hazardous materials testing. <br />B. In accordance with the terms and conditions of said Agreement, the parties wish to add compensation <br />to provide for the uninterrupted provision of services. <br />WHEREFORE, in consideration of the covenants contained in said Agreement, and subject to all the terms <br />and conditions of said Agreement, except those amended in this Third Amendment to Agreement, the <br />parties agree as follows: <br />1. Section 2.a COMPENSATION, shall be deleted in its entirety and replaced with the following: <br />"City agrees to pay, and Consultant agrees to accept as total payment for its services, the rates and <br />charges identified in Exhibit A, attached to this Agreement. The total sum to be expended under this <br />Agreement shall not exceed $25,000.00, per fiscal year, during the term of this Agreement." <br />2. Section 3, TERM, shall be amended to extend the termination date through June 30, 2010. <br />3.
