If this Agreement provides for more than $100,000.00 in grant funds, <br />SUBRECIPIENT shall submit to GRANT ADMINISTRATOR a <br />Certification Regarding Lobbying and a Disclosure Form, if required, <br />in accordance with 31 USC 1352. A copy of the Certificate is <br />attached hereto as Exhibit C. No funds will be released to <br />SUBRECIPIENT until the Certification is filed. <br />SUBRECIPIENT shall file a Disclosure Form at the end of each <br />calendar quarter in which there occurs any event requiring disclosure <br />or which materially affects the accuracy of any of the information <br />contained in any Disclosure Form previously filed by <br />SUBRECIPIENT. SUBRECIPIENT shall require that the language of <br />this Certification be included in the award documents for all sub - <br />awards at all tiers and that all subcontractors shall certify and <br />disclose accordingly. <br />4. Records Inspection <br />At any time during normal business hours and as often as GRANT <br />ADMINISTRATOR, the U.S. Comptroller General and/or the Auditor <br />General of the State of California may deem necessary, <br />SUBRECIPIENT shall make available for examination all of its <br />records with respect to all matters covered by this Agreement. The <br />U.S. Comptroller General, the Auditor General of the State of <br />California and/or GRANT ADMINISTRATOR, shall have the authority <br />to audit, examine and make excerpts or transcripts from records, <br />including SUBRECIPIENT's invoices, materials, payrolls, records of <br />personnel, conditions of employment and other data relating to all <br />matters covered by this Agreement. <br />SUBRECIPIENT agrees to provide any reports requested by <br />GRANT ADMINISTRATOR regarding performance of the <br />Agreement. <br />5. Records Maintenance <br />Records, in their original form, shall be maintained in accordance with <br />requirements prescribed by GRANT ADMINISTRATOR with respect <br />to all matters covered on file for all documents specified in this <br />Agreement. Original forms are to be maintained on file for all <br />documents specified in this Agreement. Such records shall be <br />retained for a period of three (3) years after termination of this <br />Agreement and after final disposition of all pending matters. "Pending <br />matters" include, but are not limited to, an audit, litigation or other <br />actions involving records. GRANT ADMINISTRATOR may, at its <br />discretion, take possession of, retain and audit said records. <br />Records, in their original form pertaining to matters covered by this <br />Agreement, shall at all times be retained within the County of Orange <br />unless authorization to remove them is granted in writing by GRANT <br />11 <br />
