11. ASSIGNMENT
<br />Contractor shall not assign or transfer any interest in this agreement, whether by assignment or
<br />novation, without prior written consent of City; provided, however, that claims for money due or to
<br />become due to Contractor from City under this agreement may be assigned to a bank, trust company, or
<br />other financial institution, or to a trustee in bankruptcy, without such approval. Notice of any such
<br />assignment or transfer shall be furnished promptly to City.
<br />12. REDUCTION IN SCOPE OF WORK
<br />The City reserves the right to reduce the scope of work for this contract at any time. In the
<br />event that the City determines to reduce the scope of work, there shall be no adjustment of unit prices
<br />for the remaining scope of work.
<br />The City also reserves the right to conduct any extraordinary maintenance of traffic signal,
<br />ATMS, and street light facilities without using the services of the Contractor, if it is in the City's best
<br />interest to complete the work.
<br />13. TERMINATION
<br />In the event that any of the provisions of this contract are violated by the Contractor, the City
<br />may terminate the contract by serving written notice upon the Contractor of its intention to terminate
<br />such contract and, unless within ten (10) days after the serving of such notice, such violation shall
<br />cease, the contract shall, upon the expiration of said ten (10) days, cease and terminate. In the event of
<br />any such termination for the reason mentioned above, the City may take over the work and prosecute
<br />the same to completion by contract or otherwise for the account and at the expense of the Contractor,
<br />and the Contractor and his sureties shall be liable to the City for any excess cost occasioned in the
<br />event of any such termination. This clause shall not be construed to prevent the termination, for other
<br />causes, authorized by law or other provisions of this contract
<br />14. DISCRIMINATION
<br />Contractor shall not discriminate because of race, color, creed, religion, sex, marital status, sexual
<br />orientation, age, national origin, ancestry, or disability, as defined and prohibited by applicable law, in the
<br />recruitment, selection, training, utilization, promotion, termination or other employment related activities.
<br />Contractor affirms that it is an equal opportunity employer and shall comply with all applicable federal,
<br />state and local laws and regulations.
<br />15. JURISDICTION -VENUE
<br />This Agreement has been executed and delivered in the State of California and the validity,
<br />interpretation, performance, and enforcement of any of the clauses of this Agreement shall be determined
<br />and governed by the laws of the State of California. Both parties further agree that Orange County,
<br />California, shall be the venue for any action or proceeding that may be brought or arise out of, in
<br />connection with or by reason of this Agreement.
<br />16. PROFESSIONAL LICENSES
<br />Contractor shall, throughout the term of this Agreement, maintain all necessary licenses,
<br />including a California Class C10 Contractor's License, permits, approvals, waivers, and exemptions
<br />necessary for the provision of the services hereunder and required by the laws and regulations of the
