<br />FIRST AMENDMENT TO AGREEMENT
<br />TO EXERCISE FIRST ONE YEAR OPTION

<br />THIS FIRST AMENDMENT TO AGREEMENT is entered into on December i ,
<br />1. Section 2, COMPENSATION, shall be amended to delete the reference to Exhibit
<br />B to said Agreement and include a new rate schedule, attached hereto as Exhibit B -1.
<br />Said section shall read, in full, as follows:
<br />"City agrees to pay and Contractor agrees to accept, as total payment for its
<br />services, the rates and charges set forth in Exhibit B, attached hereto. The total
<br />amount to be expended to provide security services for the Santa Ana Regional
<br />Transportation Center, the Corporate Yard, Santa Ana Zoo at Prentice Park and to
<br />provide security services during Homeland Security Alerts plus a contingency, shall
<br />not exceed $415,410.00."
<br />2. Section 3, TERM, shall be amended to extend the term from December 1, 2008
<br />through November 30, 2009."
<br />3. Except as hereinabove amended, all terms and conditions of said Agreement shall
<br />remain in full force and effect.

<br />RECITALS:
<br />A. The City entered into Contractor Agreement # 2006 -310, dated November 20, 2006,
<br />with Contractor by which Contractor has provided security guard services at the Santa
<br />Ana Regional Transportation Center, the Santa Ana Zoo at Prentice Park and the Corporate
<br />Yard (hereinafter "said Agreement ").

<br />B. In accordance with the terms and conditions of said Agreement, the parties wish to

<br />amend the Agreement to exercise the first one -year option to extend the term with

<br />increased Compensation.

<br />WHEREFORE, in consideration of the covenants contained in said Agreement, and
<br />subject to all the terms and conditions of said Agreement and all Amendments thereof,
<br />s �c- except those amended in this Amendment to Contractor Agreement, the parties agree as
