CONSULTANT AGREEMENT <br />THIS AGREEMENT, made and entered into this 8~' day of September, 2009, by and <br />between GTSI Corporation, a Virginia corporation (hereinafter "ConsultanP'), and the City of <br />Santa-Ana, a charter city and municipal corporation organized and existing under the <br />Constitution and laws of the State of California (hereinafter "City"}. <br />RECITALS <br />A. City, acting through the Santa Ana Police Department in its capacity as a Core City and <br />lead agency for the Anaheim /Santa Ana Urban Area under the FY07 Urban Areas <br />Security Initiative ("UASI"), has applied far, received and accepted a grant from the <br />United States Department of Homeland Security, which developed the Interoperable <br />Emergency Communications Grant Program {IECGP) to provide fiends to emergency <br />first responders to improve Interoperable emergency communications, including <br />communications in collective response to natural disasters, acts of tei7orism, and other <br />man-made disasters, by specifically providing funds for the creation of plans, protocols <br />and procedures, hereinafter referred to as "the Grant". <br />B. The City desires to contract with an expert in the field of bringing the California <br />Statewide Interaperability Executive Committee {Ca1SIEC) Southern Planning Area <br />(SPA) initiative into compliance, as appropriate, with the California State <br />Communication Interoperability Plan, National Emergency Communication Plan and <br />rela#ed communication interoperability national best practices and lessons learned. <br />C. Consultant represents that they have the necessary skills and experience to provide <br />assistance in developing such public safety Interoperable communications. <br />D. Consultant has submitted a Proposal which identifies the scope, tasks and general time <br />lines for providing the services and the costs thereof. <br />E. In undertaking the performance of this Agreement, Consultant represents that it is <br />knowledgeable in its field and that any services performed by Consultant under this <br />Agreement will be performed incompliance with such standards as may reasonably be <br />expected from a professional consulting fii~n in the field. <br />NOW THEREFORE, inconsideration of the mutual and respective promises, and subject to the <br />terms and conditions hereinafter set forth, the parties agree as follows: <br />1, SCOPE OF SERVICES <br />Consultant shall provide Administrative Planning Support, Professional Staff <br />Planning Support, and Technical Planning Support as required to the Southern Planning Area <br />in accordance with Consultant's Proposal, attached hereto as Exhibit A, and incorporated by <br />reference. All services required hereunder shall conform in all respects to standards far such <br />public safety Interoperable communications development issued by the U.S. Department of <br />Homeland Security. <br />Page 1 of 8 <br />25P-3 <br />
