FIRST AMENDMENT TO <br />COOPERATIVE AGREEMENT <br />..__.......... <br />THIS FIItST AMENDMENT TO COOPERATIVE AGREEMENT is made and entere <br />into this 1~ day of December, 2009, by and between the City of Santa Ana, a charter city <br />and municipal corporation of the State of California, ("City") and the County of Orange <br />("County") - <br />RECITALS: <br />A. The City on behalf of all jurisdictions in Orange County, has been designated to <br />receive grant funding provided by the U.S. Department of Housing and Urban <br />Development (HUD) pursuant to the Housing Opportunities for Persons With <br />AIDS (HOPWA) program; and <br />B. City has entered into a HOPWA grant agreement with HUD; and <br />C. The City has contracted with the County since 1993 to provide supportive housing <br />services for persons living with H1V/AIDS. During the City's last HOPWA <br />funding cycle the City changed the contract year to coincide with the City's fiscal <br />year and changed the agreement term to one year, with the stipulation that any <br />unused funds be returned to the City for reallocation. <br />D. The City and County agree to amend the Cooperative Agreement with the County <br />dated July 1, 2009 ("said Agreement") to include additional funds. Said <br />Agreement stated that "the budget may be modified by mutual, written agreement <br />of the Contract Officers". <br />WHEREFORE, in consideration of the mutual and respective covenants and promises <br />contained in the Agreement, and subject to all the terms and conditions of the Agreement, <br />City and the Project Sponsors agree as follows: <br />1. The Cooperative Agreement dated July 1, 2009, shall be amended to include in <br />the grant amount an additional Two Hundred Sixty Two Thousand Dollars <br />{$262,000) with $18,340 of said amount set aside for Administration Costs, so <br />that the total maximum obligation set forth in subsection A. of section II. Budget <br />shall be One Million Two Hundred Thirty Seven Thousand Forty Three Dollars <br />($1,237,043). <br />2. Except as hereinabove modified, the original terms and conditions of the <br />Agreement remain in full force and effect. <br />25P-3 <br />
