SECOND AMENDMENT TO AGREEMENT <br />THIS SECOND AMENDMENT TO AGREEMENT is entered into on December <br />1, 2009, by and between Securitas Security Services USA, Inc., a Delaware corporation <br />("Contractor") and the City of Santa Ana, a charter city and municipal corporation of the <br />State of California ("City"). <br />RECITALS: <br />A. The City entered into Contractor Agreement # 2006-310, dated November 20, 2006, <br />with Contractor by which Contractor has provided security guard services at the Santa <br />Ana Regional Transportation Center, the Santa Ana Zoo at Prentice Park and the Corporate <br />Yard (hereinafter "said Agreement"). <br />B. In December 2008, the parties amended the Agreement (#2008-336) to exercise the <br />first one-year option to extend the Term and increase the Compensation. <br />C. The parties hereto now desire to exercise the second one (1) year option and amend <br />the Agreement by extending the term. <br />WHEREFORE, in consideration of the covenants contained in said Agreement, and <br />subject to all the terms and conditions of said Agreement and all Amendments thereof, <br />except those amended in this Amendment to Contractor Agreement, the parties agree as <br />follows: <br />2010. <br />Section 3, TERM, shall be amended to extend the term through November 30, <br />2. Compensation to Contractor shall remain the same as last year at $415,410.00. <br />3. Except as hereinabove amended, all terms and conditions of said Agreement shall <br />remain in full force and effect. <br />25M-3 <br />
