expenditure and utilization of said funds. <br />NOW, THEREFORE, it is agreed by and between the parties that the foregoing <br />Recitals are a substantive part of this AGREEMENT and the following terms and <br />conditions are approved and together with all exhibits and attachments hereto, shall <br />constitute the entire Agreement between the CITY and SUBRECEPIENT: <br />1. AGREEMENT FORM <br />This AGREEMENT consists of: <br />The following provisions; <br />A. All applicable Federal Regulations and any future regulations and/or <br />amendments that may be promulgated by HUD; including 24 CFR 576; and <br />B. Appropriate State and CITY laws and regulations; and <br />C. The SUBRECIPIENT SCOPE OF SERVICES is incorporated by reference <br />and attached as Exhibit A, and further referenced in Section IX.D of this AGREEMENT; <br />and <br />D. The approved SUBRECIPIENT BUDGET is incorporated by reference and <br />attached as Exhibit B, and further referenced in Section VI.E. of this AGREEMENT; and <br />E. The SUBRECIPIENT Request for Proposal ("RFP") application, is <br />incorporated by reference, and further referenced in Section IX.E of this AGREEMENT; <br />and <br />F. The United States Department of Housing and Urban Development [Docket <br />No. FR-5307-N-01] Notice of Allocations, Application Procedures, and Requirements for <br />Homelessness Prevention and Rapid Re-Housing Program Grantees under the American <br />Recovery and Reinvestment Act of 2009 is incorporated by reference and attached as <br />Exhibit C. <br />G. Grant Agreement No.S09-MY-06-0508 between the United States <br />Department of Housing and Urban Development and the CITY. <br />II. DEFINITIONS <br />For the purposes of this AGREEMENT the following definitions shall apply: <br />A. HUD: United States Department of Housing and Urban Development. <br />B. CITY MANAGER: Representative on behalf of the City -City Manager or <br />his/her designee. <br />C. EQUIPMENT: Tangible, non-expendable, personal property having a useful <br />Page 2 of 28 <br />
