Assignment of Contract <br />For value received, ECONOLITE TRAFFIC ENGINEERING 8c MAINTENANCE, <br />INC., a California corporation ( "Assignor "), hereby assigns all of Assignor's right, <br />title, and interest in and to the contract entered into by and between Assignor and <br />THE CITY OF SANTA ANA (Contract), to AEGIS ITS, INC., a California corporation <br />( "Assignee "). The subject matter of the Contract is traffic signal maintenance <br />services. <br />By this Assignment, Assignor delegates to Assignee all of Assignor's duties <br />and obligations of performance of the Contract. By accepting this Assignment, <br />Assignee agrees to assume and perform all duties and obligations that Assignor has <br />under the Contract, as if Assignee had been an original party to the Contract. <br />This Assignment shall be binding on and shall inure to the benefit of the <br />respective heirs, devisees, legatees, executors, administrators, trustees, <br />successors, and assigns of the parties to this Assignment. <br />This Assignment shall be governed by and construed in accordance with <br />California law. <br />Executed � " J 201 1 at Anaheim, California. <br />ASSIGNOR: <br />ECONOLITE TRAFFIC ENGINEERING 8� MAINTENANCE.
