WSURANCE C� - woAK MAI PEo ;' D UNTIE INS'2 CLERK OF CGL : AGREEMENT BETWEEN THE CITY OF SANTA ANA AND THE CORDOBA CORPORATION — GO LOCAL STEP 2 A-2009-122 THIS AGREEMENT, made and entered into this Yd day of August, 2009 by and between Cordoba Corporation, a California corporation (hereinafter "Consultant"), and the City of Santa Ana, a charter city and municipal corporation organized and existing under the Constitution and laws of the State of California (hereinafter "City"). RECITALS d. o A. The City desires to obtain the services of a consultant to provide transportation planning, environmental and engineering services to complete an Alternatives Analysis, Draft and Final Environmental Impact Report ("EIR") and Environmental Impact Statement ('BIS"), and Advanced Conceptual P v Engineering for the Santa Ana and Garden Grove modern streetcar project connecting cfl the Santa Ana Regional Transportation Center ("SARTC) to central Santa Ana and Garden Grove ("Santa Ana Fixed-Guideway")(the "Work" or the "Services"), as Q described in the Request for Proposal ("RFP") issued by the City on December 1, CJ 2008, a copy of which is available at the Public Works Agency upon request. B. Consultant represents that Consultant is able and willing to provide such services to the City and has submitted a proposal dated January 15, 2009 ("Proposal") to provide the Services, the terms of which are acceptable to the City, as modified by this Agreement. C. In undertaking the performance of this Agreement, Consultant represents that it is knowledgeable in its field and that any services performed by Consultant under this Agreement will be performed in compliance with such standards as may reasonably be expected from a professional consulting firm in the field. NOW THEREFORE, in consideration of the mutual and respective promises, and subject to the terms and conditions hereinafter set forth, the parties agree as follows: 1. SERVICES TO BE FURNISHED BY CONSULTANT a. Scope of Work. Consultant shall perform those services as set forth in the Scope of Work attached hereto and incorporated herein as Exhibit A to this Agreement. b. Representatives. Consultant shall assign the appropriate key personnel in performing the services under this Agreement, as set forth in the RFP, Proposal, Exhibit A, Exhibit B (Teaming Agreement), and Exhibit C (Breakdown of Percentages). Consultant shall maintain the same Project Manager as specified in the Scope of Work, and approved by the City. In the event the Project Manager terminates employment, Consultant shall make a demonstrated effort to maintain the Project Manager in the key managerial position, unless extreme conditions prohibit continuance. Consultant shall give a minimum thirty (30) days' advance written notice
