<br />Agreement #W7-GJC-1 0 <br />City of Santa Ana <br /> <br />1 Contractor shall obtain, from all employees performing work hereunder, all verification and other <br /> <br />2 documentation of employment eligibility status required by Federal or State statutes and regulations <br />3 including, but not limited to, the Immigration Reform and Control Act of 1986,8 U.S.C. 31324 et seq., as <br /> <br />4 they currently exist and as they may be hereafter amended. The Contractor shall retain all such <br /> <br />5 documentation for all covered employees for the period prescribed by the law. The Contractor shall <br />6 indemnify, defend with counsel approved in writing by County, and hold harmless, the County, its agents, <br /> <br />7 officers, and employees from employer sanctions and any other liability which may be assessed against <br /> <br />8 the Contractor or the County or both in connection with any alleged violation of any Federal or State <br /> <br />9 statutes or regulations pertaining to the eligibility for employment of any persons performing work under <br /> <br />10 this Contract. <br /> <br />11 20. ASSIGNMENT <br /> <br />12 The terms, covenants, and conditions contained herein shall apply to and bind the heirs, <br /> <br />13 successors, executors, administrators, and assigns of the CONTRACTOR. No portion of this Agreement <br /> <br />14 shall be assigned without the express written consent of COUNTY. Any attempt by CONTRACTOR to <br /> <br />15 assign any portion of this Agreement without the express written consent of COUNTY shall be invalid and <br /> <br />16 shall constitute a breach of this contract. <br /> <br />17 21. SUBCONTRACTS <br /> <br />18 CONTRACTOR shall not subcontract for services under this Agreement without the prior written <br /> <br />19 consent of CONTRACT ADMINISTRATOR. If CONTRACT ADMINISTRATOR consents in writing to a <br /> <br />20 subcontract, in no event shall the subcontract alter, in any way, any legal responsibility of CONTRACTOR <br /> <br />21 to COUNTY. CONTRACT ADMINISTRATOR may refuse to pay obligations incurred under any <br /> <br />22 subcontract that does not comply with the terms of this Agreement. All subcontracts must be in writing and <br />23 copies of same shall be provided to CONTRACT ADMINISTRATOR within thirty (30) days of execution. <br /> <br />24 CONTRACTOR shall include in each subcontract any provision CONTRACT ADMINISTRATOR may <br /> <br />25 require <br /> <br />26 <br /> <br />W1A Cost Reimbursement Agreement - Green Jobs Corps <br /> <br />14 <br />
