<br />Agreement #W7 -GJC-1 0 <br />City of Santa Ana <br /> <br />1 program is funded to increase the effectiveness of local and regional business through business <br />2 improvement and development activities, job matching, and other services. All services are intended to <br /> <br />3 improve the quality of the workforce and enhance the productivity and competitiveness of Orange County <br /> <br />4 and the United States. CONTRACTOR shall ensure that the program funded hereby shall comply with this <br /> <br />5 purpose. <br /> <br />6 2. <br /> <br />TERM <br /> <br />7 The effective term of this Agreement shall commence on AUQust 1. 2009 and terminate on March <br /> <br />8 31, 2011 subject to the provisions of Sections 9, 43 and 45 of this Agreement; however, CONTRACTOR <br /> <br />9 shall be obligated to perform such duties as would normally extend beyond this term, including but not <br /> <br />10 limited to obligations with respect to indemnification, audits, reporting and accounting. CONTRACTOR and <br /> <br />11 CONTRACT ADMINISTRATOR may mutually agree in writing to extend the term of this Agreement up to <br /> <br />12 and including a period of one year, provided that COUNTY's maximum obligation stated in Subparagraph <br /> <br />13 19 of this Agreement does not increase as a resuit, and on the same terms and conditions upon mutual <br /> <br />14 agreement of the parties in writing without further Board action, unless the COUNTY earlier terminates this <br /> <br />15 AGREEMENT pursuant to the provisions contained in Paragraph 43 herein. <br /> <br />16 3. <br /> <br />STATEMENT OF WORK <br /> <br />17 This Agreement is based upon the Statement of Work, attached hereto and incorporated herein as <br /> <br />18 Exhibit B to this Agreement. CONTRACTOR agrees to comply with all provisions, to perform all work, and <br /> <br />19 to provide all services set forth in this Agreement and the aforementioned Statement of Work in a <br /> <br />20 professional, timely and diligent manner. The parties hereto agree that concerning matters not specifically <br /> <br />21 contained within the body of this Agreement, the Statement of Work will be controlling. <br /> <br />22 4. <br /> <br />TERMINATION <br /> <br />23 (a) CONTRACT ADMINISTRATOR may terminate this Agreement without penalty immediately with <br /> <br />24 cause or after thirty (30) days written notice without cause, unless otherwise specified. Notice shall be <br /> <br />25 deemed served on the date of mailing. Cause shall be defined as any breach of contract, any <br /> <br />26 <br /> <br />WIA Cost Reimbursement Agreement - Green Jobs Corps <br /> <br />7 <br />
