A -2008- 006 -01 <br />FIRST AMENDMENT TO <br />�- CUSTODIAL SERVICES AGREEMENT <br />L <br />THIS FIRST AMENDMENT TO CUSTODIAL SERVICES AGREEMENT is <br />entered into this 6`h day of April, 2009, by and between Able Building Maintenance <br />Company, a California corporation ( "Contractor ") and the City of Santa Ana, a <br />y charter city and municipal corporation of the State of California ( "City "). <br />v <br />Recitals: <br />A. The parties entered into Agreement A- 2008 -006, dated January 7, 2008 <br />(hereinafter "said Agreement ") by which Contractor has provided janitorial <br />services for the Santa Ana Police Administration and Detention facilities. <br />B. In accordance with the intent of the Parties and the terms and conditions of said <br />Agreement, the parties wish to exercise the option to extend the term for an <br />additional one -year period and to increase compensation to pay for services <br />during the extended term. <br />C. Contractor will reduce the number of janitors, by one for each shift, commencing <br />March 15, 2009. <br />Wherefore, in consideration of the covenants contained in said Agreement, and <br />subject <br />To all the terms and conditions of said Agreement, except those amended in this First <br />Amendment to Agreement, the parties agree as follows: <br />1. Section 2.a, COMPENSATION, shall be amended to reflect an increase in unit <br />costs for the entire one year term of said Agreement, as set forth in Exhibit B to <br />said Agreement, and a reduction of one janitor per shift commencing March 15, <br />2009. Said section shall be deleted in its entirety and replaced with the following: <br />"City agrees to pay, and Consultant agrees to accept as total payment for its <br />services, the rates and charges identified in Exhibit B, attached to said Agreement. <br />Compensation to be paid for services performed pursuant to said Agreement shall <br />not exceed $363,000.00 during the term from December 1, 2008 through November <br />30, 2009." <br />2. Section 3, TERM, shall be amended to extend the termination date from <br />November 30, 2008 through November 30, 2009. <br />3. Except as hereinabove amended, all terms and conditions of said Agreement shall <br />Remain in full force and effect. <br />H <br />
