SECOND AMENDMENT TO AGREEMENT <br /> THIS SECOND AMENDMENT TO AGREEMENT is entered into on January 4, <br /> 2010, by and between PBS&J, a California corporation ("Consultant") and the City of <br /> Santa Ana, a charter city and municipal corporation organized and existing under the <br /> Constitution and laws of the State of California ("City"). <br /> RECITALS: <br /> A. The parties entered into that certain Agreement A-2007-185, dated August 6, 2007, <br /> (hereinafter "said Agreement") by which Consultant has provided engineering <br /> services in relation to the SR-55/MacArthur Boulevard Interchange ramp widening <br /> project <br /> B. By Amendment dated September 24, 2008, the parties authorized additional Traffic <br /> Study services and increased compensation to pay for the additional services. <br /> C. In accordance with the terms and conditions of said Agreement, the parties wish to <br /> again amend said Agreement to provide additional survey and plans, specifications <br /> and estimates for required roadway widening. <br /> WHEREFORE, in consideration of the covenants contained in said Agreement, and <br /> subject to all the terms and conditions of said Agreement, except those amended in this <br /> Second Amendment to Agreement, the parties agree as follows: <br /> 1. Section 1, SCOPE OF SERVICES, shall be amended to include additional survey <br /> services provided by subconsultant Towill, and additional plans, specifications and <br /> estimates provided by Consultant, all as set forth in Exhibit A-2, attached hereto and <br /> incorporated by this reference. Said additional work is required to allow for the <br /> widening of MacArthur Boulevard, based on preliminary engineering services. <br /> 2. Section 2, COMPENSATION, shall be amended to increase compensation by <br /> $45,000, to pay for the additional services. City agrees to pay and Consultant agrees <br /> to accept as total compensation for all services set forth in said Agreement and this <br /> Amendment, an amount not to exceed Three hundred sixty-one thousand dollars <br /> ($361,000.00). <br /> <br /> 3. Except as hereinabove amended, all terms and conditions of said Agreement shall <br /> remain in full force and effect. <br /> 25C-4 <br /> <br />
