of the agreements herein and attributable to the fault and/or liability by agreement <br />between the parties or by a court of competent jurisdiction. The party responsible for <br />liability to the other will indemnify the other party for the percentage of liability <br />determined as set forth herein. Each party is responsible for the acts or omissions of <br />their own officers, agents, employees, or volunteers. <br />4. ADMINISTRATIVE COMMITTEES <br />4.1. Steering Committee. <br />4.1.1. The OCTAP Steering Committee shall consist of the City Manager, <br />Executive Officer, or their designee, from each Agency, one <br />representative of the tourist industry in Orange County, and two <br />representatives (one "large" and one "small") of the permitted Taxicab <br />companies; chosen, via election, by the "small" and the "large" permitted <br />taxicab companies. Large Taxicab companies are defined as those <br />operating more than the average number of vehicles owned by Orange <br />County Taxicab companies. Small Taxicab companies are defined as <br />those operating less than the average number of vehicles owned by <br />Orange County Taxicab companies. <br />4.1.2. The OCTAP Steering Committee will meet quarterly to advise OCTA on <br />Taxicab regulation implementation. <br />4.2. Safety Committee. <br />4.2.1. The OCTAP Safety Committee shall consist of the Police Chief, County <br />Sheriff, or their designee, from each participating Agency. <br />4.2.2. The OCTAP Safety Committee will meet quarterly to advise OCTA and <br />the OCTAP Steering Committee on issues of public safety. <br />5. COMPANY PERMITS <br />5.1. Company Permit required. <br />No Company shall operate a Taxicab business, or advertise as a Taxicab <br />business, within the Area of Jurisdiction of an Agency without having first obtained a <br />Company Permit from OCTAP and without first obtaining permission from the Agency <br />to operate in the Area of Jurisdiction of such Agency, if the Agency's legislative body <br />requires such permission or permitting. <br />Page 5 <br />652133.1 <br />
