INSURANCE ON FILE <br />WORK MAY PROCEED <br />UNTIL INSURANCE EXPIRES <br />�.31-i0 <br />CLERK OF COUNCIL <br />DATE; A-R-10 <br />o : PRC3 C2) <br />A- �o, JACA(nez <br />RECREATION SERVICES AGREEMENT <br />N-2009-147 <br />THIS AGREEMENT, made and entered into this day of December, 2009 by and <br />between East Los Angeles Classic Theatre, a California 50 (c)(3) non-profit organization <br />(hereinafter "Provider") and the City of Santa Ana, a charter city and municipal corporation <br />organized and existing under the Constitution and laws of the State of California (hereinafter <br />"City"). <br />RECITALS <br />A. The City desires to retain a service provider having special skill and knowledge in the <br />field of providing language arts curriculum through theater production. <br />B. Provider represents that Provider is able and willing to provide such services to the <br />City. <br />C. In undertaking the performance of this Agreement, Provider represents that it is <br />knowledgeable in its field and that any services performed by Provider under this <br />Agreement will be performed in compliance with such standards as may reasonably be <br />expected from a service provider in the field. <br />NOW THEREFORE, in consideration of the mutual and respective promises, and subject to the <br />terms and conditions hereinafter set forth, the parties agree as follows: <br />1. SCOPE OF SERVICES <br />Provider shall coordinate a sixteen week/sixty four hour theater arts and literacy program <br />for the children of Santa Ana as set forth in Exhibit A to this Agreement. <br />2. COMPENSATION <br />a. City agrees to pay, and Provider agrees to accept as total payment for its services, the <br />rates and charges identified in Exhibit A. The total sum to be expended under this Agreement <br />shall not exceed $24,000.00 during the term of this Agreement in accordance with the budget set <br />forth in Exhibit A. The City and Provider may modify elements of the budget provided the total <br />compensation is not increased. <br />b. Payment by the City shall be 50% at the start of the program and 50% at the <br />conclusion of the program. <br />3. TERM <br />This Agreement shall commence on the date first written above and terminate on June 30, <br />9, unless terminated earlier in accordance with Section 12, below.
