This serves as an agreement ("Agreement") between the City of Santa Ana ("City) and Spencer Grant ("Photographer") as of November S, , 2009, in connection with photographs taken by Photographer that depict the Santa Ana Police Department (`Department") and/or its personnel, to be used by the picture agencies PhotoEdit, Photo Researchers, Alamy, PhotoLibrary Ltd., AGE FotoStock, and World of Stock for educational or training materials. 2. The City hereby authorizes Photographer to take photographs depicting the Department and/or its personnel, providing such personnel voluntarily consent to being photographed, where such photographs are to be used by the picture agencies PhotoEdit, Photo Researchers, Alamy, PhotoLibrary Ltd., and World of Stock for training and educational publications. 3. Photographer gives the Department the right to exclude from use any photograph taken under the terms of this Agreement. The photographs that the Photographer intends to submit to PhotoEdit, Photo Researchers, Alamy, PhotoLibrary Ltd., and World of Stock shall be submitted to the Police Chief's Executive Officer Tammy Franks of the Santa Ana Police Department prior to submission to or use by PhotoEdit, Photo Researchers, Alamy, PhotoLibrary Ltd, and World of Stock Within ten days, City shall notify Photographer of any photographs which are to be excluded from use under this agreement by listing such photographs on a form that identifies the description and/or identifying number of such photographs. Producer shall exclude such photographs from the submission to PhotoEdit, Photo Researchers, Alamy, PhotoLibrary Ltd., and World of Stock and these photographs shall not be used for any other purpose. 4. The use of any photographs containing public figures or other non -Department persons shall require Photographer to obtain appropriate clearances from such individuals. 5. Photographer warrants that any photographs taken under this Agreement will be solely used for submission to the picture agencies PhotoEdit, Photo Researchers, Alamy, PhotoLibrary Ltd., and World of Stock 6. Photographer and all non -Department persons will sign "Ride -A -Long" waivers if they will be in any Department vehicles. 7. Photographer agrees to indemnify and hold harmless the City in connection with any and all claims arising out of the actions of Photographer and/or his personnel, agents, employees, contractors or authorized third parties in connection with the photographs taken under this Agreement, including Photographer's breach of this Agreement. 8. Producer shall name the City as a "named additional insured" on his commercial general liability insurance policy for 1 million dollars, in a form that substantially complies with Exhibit "A," and will allow the City to examine the insurance policy to verify such coverage.
