<br />(b) The failure by COi3CESSIC%v'AIRE to comply with any <br />of the terms or cor~dition:~ o.f this Agreem~`nt; <br />(c) The obtaining b~u~ any person other than CONCESSION- <br />HIRE of possession. of the restaurant or "half-way house", or <br />an~~ part thereof, or .any of the proceeds derived from the <br />operations thereof under any T~arit of Attachment or Execution <br />or by reason. of any receivership or proceedings in bankruptcy <br />or other operation of law in any mar_ner whatsoever for a <br />period in eycess of five (5) days; <br />(d) Failure by CONCESSIONAIRE to comply with any term <br />or condition of this Agreement, or to satisfy any of its ob- <br />ligations hereunder, including without limitation its obliga- <br />tions to commence and complete construction, pay rentals, <br />taxes, and insurance premiums when due; <br />(e) The making of or consenting in or acquiesence to <br />by CONCESSIONAIRE of any intentional misrepresentation re- <br />specting the organization, existarce or operations of CON- <br />CESSIONAIRE hereunder to RIVER VIEW7, any insurer, the City <br />of Santa Ana, the Orange County Flood Control District, the <br />Alcoholic Beverage Commission, or any other governmental or <br />regulatory agencies having ar_y jurisdiction over the opera- <br />tions of COD7CESSIONAI's2E, including without limitation, the <br />Internal Revenue Service. <br />16. REPRESENTATIONS OF CONCESSIONAIRE <br />CONCESSTO~TAIRE represents that it is a duly formed limited <br />partnership, that its Articles of Limited Partnership have been <br />appropriately executed and -piled pursuant to the laws of the State <br />of California, and that it has taken all steps required to comply <br />with the laws relating to publication of notice of doing business <br />L~.nder a fictitious name. <br />--12- <br />
