APR 1 5 2010 <br />h'~ f ~~;° /~ C ~ ~ <br />~Lti!~ Il }~,~~~.~~~. <br />FIRST AMENDMENT TO AGREEMENT <br />N-2008-151-001 <br />THIS FIRST AMENDMENT TO AGREEMENT is entered into on March 24, 2010, by <br />and between ZONAR Systems, Inc., a Washington corporation ("Consultant") and the City of <br />Santa Ana, a charter city and municipal corporation organized and existing under the Constitution <br />and laws of the State of California ("City"). <br />RECITALS: <br />i <br />A. The parties entered into that certain Agreement N-2008-15,~, dated November 21, 2008, <br />(hereinafter "said Agreement") by which Consultant has provided sweeper GPS tracking <br />system services. <br />B. The parties desire to terminate said Agreement and provide compensation for services <br />through the termination date. <br />WHEREFORE, in consideration of the covenants contained in said Agreement,. and subject to all <br />the terms and conditions of said Agreement, except those amended in this First Amendment to <br />Agreement, the parties agree as follows: <br />1. Pursuant to TERM, City hereby elects to terminate said Agreement, effective June 24, 2010. <br />2. City shall pay compensation of $1,829, for services provided from November, 21, 2009 <br />through June 24, 2010. <br />3. Except as hereinabove amended, all terms and conditions of said Agreement shall remain in <br />full force and effect. <br />IN WITNESS WHEREOF, the parties hereto have executed this First Amendment to Agreement <br />on the date and year first written above. <br />ATTEST: <br />~. / (~ ~ <br />MA/RI(A D.
