I CD IlX tf F ? _ 24 -(o FIRST AMENDMENT TO AGREEMENT THIS FIRST AMENDMENT TO AGREEMENT is entered into on December 15, 2009, by and between Econolite Traffic Engineering and Maintenance, Inc. ("Consultant") and the City of Santa Ana, a charter city and municipal corporation organized and existing under the Constitution and laws of the State of California ("City"). RECITALS: A. The parties entered into that certain Agreement A-2009-124, dated August 17, 2009, (hereinafter "said Agreement") by which Consultant has provided maintenance on the citywide traffic signal system and street light system. B. Inadvertently an incorrect fee schedule was attached as Exhibit B to said Agreement. In accordance with the terms and conditions of said Agreement, the parties wish to amend the said Agreement to confirm the correct fee schedule. WHEREFORE, in consideration of the covenants contained in said Agreement, and subject to all the terms and conditions of said Agreement, except those amended in this First Amendment to Agreement, the parties agree as follows: 1. Section 2, COMPENSATION, shall be amended to delete the Fee Schedule attached as Exhibit B, and replace it with the correct Fee Schedule, attached hereto as Exhibit B-1, and incorporated by this reference. Said Fee Schedule shall be in effect as of the effective date of said Agreement. 2. Except as hereinabove amended, all terms and conditions of said Agreement shall remain in full force and effect. IN WITNESS WHEREOF, the parties hereto have executed this First Amendment to Agreement on the date and year first written above.
