<br />AMENDMENT TO SERVICE AGREEMENT
<br />A-2009-192
<br />THIS AMENDMENT TO AGREEMENT, made and entered into this 2nd day of
<br />November, 2009, by and between Trane Inc, ("Consultant") and the City of Santa Ana, a
<br />charter city and municipal corporation duly organized and existing under the Constitution
<br />and laws of the State of California ("City"), collectively referred to herein as "the Parties".
<br />RECITALS:
<br />A. The Parties entered Agreement N-2004-062, dated July 1, 2004, hereinafter referred to as
<br />"said Agreement", for the provision of maintenance, service, repair and parts for air
<br />conditioning units located on the Ross Annex building;
<br />V B. Said Agreement has been subsequently amended to extend the term and add
<br />compensation to provide continuous service during the extended term.
<br />C. The Parties now wish to amend the Scope of Services to include maintenance, repair and
<br />parts replacement services for the compressor at the Grand Central Arts Center, and to
<br />increase compensation to pay for the additional services to be provided.
<br />WHEREFORE, in consideration of the mutual and respective covenants and promises
<br />hereinafter contained and made, and subject to all of the terms and conditions of said Agreement
<br />as hereby amended, the parties hereto do hereby agree as follows:
<br />Section 1, SCOPE OF SERVICES, shall be amended to provide that Contractor will
<br />provide maintenance, service, repair and parts for air conditioning units at the Ross
<br />Annex Building. Contractor shall inspect and bring the 70-125 Ton Compressor Chiller
<br />Series R (Model #RTUA100AYCO1X3DOVFNH) at the Grand Central Art Center, 125
<br />N. Broadway, Santa Ana, CA, into good repair and, commencing October 1, 2009,
<br />Contractor will provide ongoing maintenance, service, repair and parts for the Grand
<br />Central Arts Center compressor described above. Contractor may provide additional
<br />services at the written request of the Executive Director of Finance and Management
<br />Services.
<br />2. Section 2.a., COMPENSATION, shall be amended to set the inspection, maintenance,
<br />repair and part replacement fee for the 2009/2010 fiscal year at $8,680.49.00, payable
<br />at $2,170.12 per quarter, plus tax, for Ross Annex. Contractor agrees to accept, and
<br />City agrees to pay an additional fee of $3,568.00, payable at $892 per quarter, for
<br />inspection, maintenance, repair and part replacement at Grand Central Art Center.
<br />The total sum to be expended for service and part replacement pursuant to said
<br />Agreement shall be increased by $28,500.00, for a total amount not exceed $53,500,
<br />during the period from July 1, 2009 through June 30, 2010.
<br />Except as hereinabove modified, the terms and conditions of said Agreement remain
<br />unchanged and in full force and effect.
