FIRST AMENDMENT TO AGREEMENT <br /> T <br /> HIS FIRST AMENDMENT TO AGREEMENT, is entered into on May 3, 2010, by and between <br /> REDLANDS SOFTWARE, INC. (hereinafter "Consultant"), and the City of Santa Ana <br /> (hereinafter "City"). <br /> RECITALS: <br /> A. The parties entered into Agreement # A-2009-116, dated August 3, 2009, (hereinafter "said <br /> Agreement") by which Consultant has provided Geographic Information System programming <br /> and technical services. <br /> B. The parties wish to increase available compensation to allow Consultant to provide additional <br /> programming and technical services to expand the City's Geographic Information System for <br /> use by various City agencies. <br /> WHEREFORE, in consideration of the covenants contained in said Agreement, and subject to all <br /> the terms and conditions of said Agreement, except those amended in this First Amendment to <br /> Agreement, the parties agree as follows: <br /> 1. Exhibit A, SCOPE OF SERVICES, shall be amended to provide that Consultant shall <br /> complete the redesign of the City's GIS viewer and also translate the base map data received from <br /> the County of Orange for inclusion in the City's GIS database. <br /> 1. Section 2. a., "COMPENSATION", shall be amended to increase total compensation available <br /> by $50,000, for a total not to exceed amount of $144,000.00. Said services shall be provided on <br /> an hourly rate basis as set forth in Exhibit A of said Agreement. <br /> 2. Except as hereinabove modified, all terms and conditions of said Agreement shall remain in <br /> full force and effect. <br /> IN WITNESS WHEREOF, the parties hereto have executed this First Amendment to Agreement <br /> on the date and year first written above. <br /> ATTEST: CITY OF SANTA ANA <br /> MARIA D.
