MEMORANDUM OF AGREEMENT <br />This Agreement is made and entered into between POLI<CEREPORTS.US, LLC, with an office located at <br />219 Williamson Rd. Suite 2201, Mooresville, North Carolina 28117; and the Santa Ana Police Department <br />( "Agency ") with an office located at 60 Civic Center Plaza, Santa Ana, California 92703. <br />PoliceReports.US Agrees: <br />1. To license the software for use by the Agency. <br />2. To provide all upgrades, modifications, and other enhancements that are routine and necessary to maintain_ <br />functioning of the online report distribution system. <br />3. To'provide no -cost customer service to the Agency and to purchasers of reports. <br />4. To abide by all applicable laws and regulations relating in any way to the distribution of reports. <br />5. That the Agency may terminate this agreement at any time upon providing written notice. <br />6. To not increase the cost of service or reports during the defined "Term of Agreement" period indicated below. <br />Auney Agrees: <br />1. To not disclose any information to a third party that is considered confidential, including: strategies and <br />technologies, product or service development information, business plans and models, commercial and marketing <br />information, technical information, computer source and object code, memoranda, correspondence, data, <br />documents, or analyses unless compelled by law to do so. <br />2. To upload the data (reports) in a timely manner. <br />3. To promote the use of the online distribution system through written and verbal means. <br />4 To a! That PoliceReports.US has no control over the content of reports submitted by the Agency and bears no liability <br />from claims based on content. <br />6. Within 10 days of the end of each <br />month, PoliceReports.US will provide a report of the number of reports distributed and a check or electronic funds transfer <br />for the appropriate amount to be returned to the agency. <br />
