26, Relationship nship of Hoin i• and Agency. The relationship of the Hoi nebuyer <br />and the Agency pursuant to this Agreement is that of debtor and creditor and shall not be, or be <br />construed to lie, a joint ventu re, equity venture, partnership, or other relationship. <br />27* Monitoring. To the extent t per itted by law, the Agency and its designated <br />employees and agents shall have the right to enter the Property at all reasonable threes without a <br />arrant for the purpose of nionitor•ing the Homeb yea's compliance with this Agreement. Any <br />such entry shall be jade only after reasonable notice to the Hoy ebuyer, which shall inean at <br />least forty -eight hours in all non-emergency situations. Upon receipt of Such notice, the <br />Hoy eb Ayer agrees to consent to entry by the Agency and to cooperate in raking the Propetly <br />available for inspection by the Agency. The Hoinebuyer .acknowledges and agrees that if for any <br />reason the Homebuyer fails to consent to such entry or inspection, the Agency may obtain an <br />administrative inspection warrant or tale such other legal actions as may be necessary to gain <br />access to and inspect the Property. The Agency shall indemnify and hold harmless the <br />Hot ebuyer• from any costs, elahns, damages. o • liabilities pertaining to any such entry. <br />Notices. Any notices, requests or approvals given tinder this Agreement ftom one <br />party to another may be personally delivered or deposited with the United States Postal Service <br />for nailing, postage prepaid, registered or certified mail, return receipt requested to the following <br />address: <br />To Hmrhur. <br />To Agency: Community Redevelopment ent Agency <br />of the City of Santa Ana <br />20 Civic Center Plaza <br />Santa Ana, California 92701 <br />Attention: Executive Director <br />Either party may change its address for notice by giving written notice thereof to <br />the other party. <br />Attorneys' Fees and Costs. Should either of the parties to this Agreement incur <br />attorneys" fees in seeping the enforcement of this Agreement, whether or not a final court <br />judgment is entered, the prevailing party shall be entitled to reimbursement of its reasonable <br />attorneys' fees and litigation costs, including without limitation expert witness fees, by 'the other <br />party. <br />30, nth-e Agi' enient.
