FIRST AMENDMENT TO AGREEMENT <br /> THIS FIRST AMENDMENT TO AGREEMENT is entered into on July 19, 2010, by and <br /> between Cindy Krebs Consulting, Inc., a California corporation ("Consultant") and the City of <br /> Santa Ana, a charter city and municipal corporation organized and existing under the Constitution <br /> and laws of the State of California ("City"). <br /> RECITALS: <br /> A. The parties entered into that certain Agreement, dated June 8, 2009, (hereinafter "said <br /> Agreement") by which Consultant has provided transit program management consulting <br /> services. <br /> B. Since the execution of said Agreement, the City has commenced both a public outreach <br /> program regarding the fixed guideway system and the City's transit vision, and preliminary <br /> planning and engineering for the expansion of the Santa Ana Regional Transportation Center. <br /> Consultant is working with the project consultants and staff to coordinate effort on these <br /> additional projects as part of Santa Ana's Go Local Transit Vision (the "Project"). <br /> C. In accordance with the terms and conditions of said Agreement, the parties wish to amend the <br /> scope of services and compensation terms, to increase the hours Consultant will be available <br /> to the City to provide consulting services in relation to the Project. <br /> WHEREFORE, in consideration of the covenants contained in said Agreement, and subject to all <br /> <br /> the terms and conditions of said Agreement, except those amended in this First Amendment to <br /> <br /> Agreement, the parties agree as follows: <br /> 1. Section 1, SCOPE OF SERVICES, shall be amended to increase the minimum hours <br /> committed to the Project from twenty (20) hours per week to twenty-five (25) hours per week <br /> on a monthly basis. <br /> <br /> 2. Section 2, COMPENSATION, shall be amended to increase compensation by $36,000, to pay <br /> for the additional services at the rate of 5,000 per month. The total not to exceed amount <br /> shall be increased to $324,000. <br /> 3. Except as hereinabove amended, all terms and conditions of said Agreement shall remain in <br /> full force and effect. <br /> 25A-3 <br /> <br />
