INSURANCE ON FILE N-2009-075-001 WORK MAY PROCEED UNTIL INSURANCE EXPIRES (aL~-d29-!/ CLERK OF COUNCIL FIItST AMENDMENT TO AGREEMENT DATE: ,uL Z 5 2Q1® Q _ p1~ R-/ L~ ~1 Yr THIS FIRST AMENDMENT TO AGREEMENT is entered into on May 17, 201 O, by C~~*~Y K- and between Knightsbridge Architectural Products, Inc., a California corporation ("Consultant") and the City of Santa Ana, a charter city and municipal corporation organized and existing under the Constitution and laws of the State of California ("City"). RECITALS: A. The parties entered into that certain Agreement N-2009-075, dated July 1, 2009, (hereinafter "said Agreement") by which Consultant has provided signage design, manufacture, refurbishment, installation and repair services. B. Effective January 1, 201 O, the Santa Ana Public Works Agency is responsible for managing the Santa Ana Regional Transportation Center on behalf of the City. C. In accordance with the terms and conditions of said Agreement, the parties wish to extend the term of said agreement. WHEREFORE, in consideration of the covenants contained in said Agreement, and subject to all the terms and conditions of said Agreement, except those amended in this First Amendment to Agreement, the parties agree as follows: 1 . Section 3, TERM, shall be deleted in its entirety and replace with the following: "This Agreement shall commence on July 1, 2009 and terminate on June 30, 2011, unless terminated earlier in accordance with Section 12, below. The term of this Agreement may be extended upon a writing execute by the Executive Director of the Public Works Agency and the City Attorney." 2. Except as hereinabove amended, all terms and conditions of said Agreement shall remain in full force and effect.
