JUL 1 9 Z010 FIRST AMENDMENT TO AGREEMENT THIS FIRST AMENDMENT TO AGREEMENT is entered into on June 14, 2010, by and between Transdyn, Inc., a Delaware corporation ("Consultant") and the City of Santa Ana, a charter city and municipal corporation organized and existing under the Constitution and laws of the State of California ("City"). RECITALS: A. The parties entered into that certain Agreement N-2009-090, dated May 6, 2009, (hereinafter "said Agreement") by which Consultant has provided service and maintenance for the City's Water Supervisory Control and Data Acquisition System (hereinafter "SCADA"). B. In accordance with the terms and conditions of said Agreement, the parties wish to provide compensation to pay for services during the 2010-11 fiscal year. WHEREFORE, in consideration of the covenants contained in said Agreement, and subject to all the terms and conditions of said Agreement, except those amended in this First Amendment to Agreement, the parties agree as follows: 1. Section 2, COMPENSATION, shall be amended to increase compensation by $25,000, to pay for the services during FY2010-1 1, at the rates and charges set forth in Exhibit A-1, attached hereto and incorporated by this reference. 2. Except as hereinabove amended, all terms and conditions of said Agreement shall remain in full force and effect.
