The headings used in this Agreement are for convenience of reference only <br />and shall not affect the interpretation of this Agreement. Both Parties had the opportunity to negotiate the <br />provisions of this Agreement. No provisions of this Agreement are intended to or shall be construed <br />against any Party by reason of such Party being deemed to have drafted such provisions or this <br />Agreement. Where agreement, approval, acceptance, consent or similar action by either Party is required <br />by any provision of this Agreement, such action shall not be unreasonably delayed or withheld. <br />15.14. Survival.
