FIRST AMENDMENT TO AGREEMENT WITH LAZ PARKING CALIFORNIA LLC <br />TO PROVIDE PARKING ENFORCEMENT SERVICES <br />THIS FIRST AMENDMENT to the above -referenced agreement is entered into on June 3, 2025, <br />by and between LAZ Parking California LLC, ("Consultant"), and the City of Santa Ana, a charter <br />city and municipal corporation organized and existing under the Constitution and laws of the State <br />of California ("City"). <br />RFC'TTAT,S <br />A. The parties entered into Agreement No. A-2023-121 on June 20, 2023 ("Agreement") to <br />provide parking enforcement services for the City's Police Department. The term of the <br />Agreement was two (2) years, from July 1, 2023 to June 30, 2025, with the option to grant up <br />to three (3) one (1) year renewals. The total compensation was not to exceed $1,876,888. <br />B. The parties now wish to exercise the first option to renew and to increase the compensation by <br />an additional $1,010,855. <br />C. The parties also wish to amend the Scope of the Agreement to clarify the function and direction <br />of LAZ Ambassadors in regard to the enforcement of the Santa Ana Municipal Code and <br />California Vehicle Code parking sections. <br />The Parties therefore agree: <br />1. Section 1, Scope is amended to add the following paragraph to Exhibit A: <br />"LAZ AMBASSADOR'S FUNCTION and DIRECTION — LAZ Ambassadors function at the <br />absolute direction of the Santa Ana Police Department. LAZ Ambassadors will have the ability to <br />enforce Santa Ana Municipal Code and California Vehicle Code parking sections, only at the <br />approval and discretion of the Santa Ana Police Department. The Santa Ana Police Department at <br />any time during the contract can restrict certain Santa Ana Municipal Code and California <br />Vehicle Code parking sections from being enforced." <br />2. Section 2, Compensation is amended to increase the compensation by an additional <br />$1,010,855 for a total not to exceed amount of $2,887,743, and add Exhibit B-1, chart of costs <br />effective July 1, 2025, attached hereto and incorporated herein. <br />3. Section 3, Term is amended to extend the term of the Agreement by an additional year from <br />July 1, 2025 to June 30, 2026. <br />4. Except as modified by this First Amendment, all terms and conditions of the Agreement shall <br />remain in full force and effect. <br />[Signatures on following page] <br />Page 1 of 2 <br />
