DBA CITY NET AND <br /> CITY OF SANTA ANA <br /> THIS AGREEMENT is made and entered into on this 17th day of June, 2025 by and between <br /> Kingdom Causes, Inc. dba City Net, a California nonprofit corporation ("Consultant"), and the <br /> City of Santa Ana, a charter city and municipal corporation organized and existing under the <br /> Constitution and laws of the State of California("City"). Consultant and City shall be referred to <br /> collectively as "Parties" and individually as "Party." <br /> RECITALS <br /> A. The City desires to retain a Consultant having special skill and knowledge in the field of <br /> substance abuse coordination services, including engaging with local detox,treatment, and <br /> sober living programs to assist individuals experiencing substance abuse disorders to <br /> enable drug detoxification, facilitate drug rehabilitation treatment, and find long-term <br /> housing to support individuals in sobriety. <br /> B. Consultant represents that it is able and willing to provide such services to the City. <br /> C. In undertaking the performance of this Agreement, Consultant represents that it is <br /> knowledgeable in its field and that any services performed by Consultant under this <br /> Agreement will be performed in compliance with such standards as may reasonably be <br /> expected from a professional consulting firm in the field. <br /> NOW THEREFORE, in consideration of the mutual and respective promises, and subject to the <br /> terms and conditions hereinafter set forth, the Parties agree as follows: <br /> 1. SCOPE OF SERVICES <br /> Consultant shall perform during the term of this Agreement, the tasks and obligations <br /> including all labor, materials, tools, equipment, and incidental customary work required to fully <br /> and adequately complete the services described and set forth in Scope of Services - Exhibit A, <br /> attached hereto and incorporated by reference. <br /> 2. SETTLEMENT FUNDING/OBLIGATIONS <br /> Consultant acknowledges the funding for this Agreement originates from the National <br /> Opioid Settlements (https:Hoag.ca.gov/opioids ), and more specifically the Stipulated Judgment <br /> and Settlement Agreement entered in the case titled The People of the State of California v. <br /> Walmart, Inc., Superior Court of the State of California, County of Sacramento Case No. <br /> 23CV013542,which can be found at htips://oag.ca.gov/systeni/files/media/walmart-judpment.pdf <br /> ("Walmart Settlement"). Further,the State of California and counsel representing a group of cities <br /> and counties reached an agreement on the allocation of recoveries that California receives pursuant <br /> to the national opioid settlements, including the Walmart Settlement which can be found at <br /> https://oag.ca.gov/system/files/media/fmal-walmart-allocation-agreement.pdf ("California State <br /> Subdivision Agreement").
