The SUBRECIPIENT and its subcontractors shall at all times remain independent contractors <br />with respect to the services to be performed under this AGREEMENT. The CITY shall be exempt <br />from payment of any Unemployment Compensation, FICA, retirement, life and/or medical <br />insurance and Workers' Compensation Insurance as the SUBRECIPIENT is an independent <br />contractor. <br />G. Subcontracts <br />(1) Content Requirements. The SUBRECIPIENT will include all relevant provisions <br />of this AGREEMENT in all subcontracts entered into as part of the activities undertaken <br />in furtherance of this AGREEMENT and will take appropriate action pursuant to any <br />subcontract upon a finding that the subcontractor is in violation of regulations issued by <br />any federal agency. The SUBRECIPIENT will not subcontract with any entity where it <br />has notice orknowledge that the latter .has been found in violation of regulations under 24 <br />CFR Part 75 (Economic Opportunities for Low- and Very Low -Income Persons) and will <br />not allow any subcontract unless the entity has first provided it with a preliminary <br />statement of ability to comply with the requirements of these regulations. <br />(2) Submission to the CITY. The SU.BRECIPIENT must submit all subcontracts and <br />other agreements that relate to this AGREEMENT to the CITY. <br />H. Licensing <br />The SUBRECIPIENT agrees to obtain and maintain all required licenses, registrations, <br />accreditation, and inspections from all agencies governing its operations. The SUBRECIPIENT <br />shall ensure that its staff and subcontractors shall also obtain and maintain all required licenses, <br />registrations, accreditation and inspections from all agencies governing the SUBRECIPIENT's <br />operations hereunder. Such licensing requirements include obtaining a City business license, as <br />applicable. <br />I. Responsibilities Toward Employees <br />The SUBRECIPIENT accepts frill responsibility for payment of any and all <br />unemployment compensation, insurance premiums, workers' compensation premiums, income <br />tax withholdings, social security withholdings, and any and all other taxes or payroll withholdings <br />required for all employees engaged in the performance of the work and activities authorized by <br />the AGREEMENT. The SUBRECIPIENT accepts full responsibility for providing workers with <br />proper safety equipment and taking any and all necessary precautions to guarantee the safety of <br />workers or persons otherwise affected. <br />Insurance and Bonding <br />SU13REC:IPIE-NT shall procure and maintain for the duration of the Agreement and shall require <br />any subcontractors to obtain and maintain the following insurance coverages: <br />(1) MINIMUM SCOPE AND LIMIT OF INSURANCE <br />a.
